Launch of "TK-CG" (Takata Corporate Governance) – suitable structure for "One World, One Takata"

Takata recognizes the effective function of corporate governance mechanisms as an important measure to increase the value of the company over the long term. Based on this premise, we established a system for corporate governance at the same time as our Tokyo Stock Exchange listing in 2006 and have been working on this issue continuously; we elected an external director before many other companies, for example.
More than 8 years has passed since our listing, and now, it is deemed important to build firm relations of trust with a wide range of stakeholders for more stable and lasting growth in global terms. Therefore we organize our new corporate governance aimed at not only our shareholders and investors but also our customers and end-users, and promote it as “TK-CG” (Takata Corporate Governance).
Under “One World, One Takata”, we are working as a unified force to promote TK-CG to increase our company value and develop into the true global Number One which is trusted.

Basic Policy for Internal Control System

A new “Basic Policy for Internal Control System” has been resolved in March 2015. The new policy mainly clarifies our policy for group governance so that the efficiency of Takata
Group-wide corporate governance would be enhanced in response to the amended Japanese Companies Act enforced on May 1, 2015.

Takata maintains and operates internal control systems appropriately in accordance with this policy.

TAKATA Conduct Guidelines

We set “TAKATA Conduct Guidelines” as basic action guidelines for each one of Takata associates and share the guidelines throughout Takata Group including subsidiaries. In deploying business more globally, now we understand the increasing importance of ensuring that the guidelines are shared within the whole Takata Group.
Therefore we revised them effective as of October 2013, so that they became more acceptable globally, taking cultural diversity of countries in which our locations are into consideration.
